This website is operated by Seasonglass (“Seasonglass”, “we”, “our”, or “us”). Seasonglass offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
By visiting our site and/or purchasing something from us, you agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service set forth a legally binding agreement between you and Seasonglass, and govern your use of any online service location that posts a link to these Terms, and all features, content, and other services that we own, control and make available through such online service location (collectively, the “Service”). These Terms apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content. In some instances, both these Terms and separate terms elsewhere on the Service will apply to your use of the Service (“Additional Terms”). To the extent there is a conflict between these Terms and any applicable Additional Terms, the Additional Terms will control unless they expressly state otherwise.
Any new features or tools which are added to the current store shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our Service. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Service following the posting of any changes constitutes acceptance of those changes.
Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.
A breach or violation of any of the Terms will result in an immediate termination of your Services.
SECTION 1 – SERVICE USE
The Service contains: (i) materials and other items relating to Seasonglass and its products and services, and similar items from our licensors and other third parties, including all layout, information, databases, articles, posts, text, data, files, images, scripts, designs, slideshows, graphics, instructions, illustrations, photographs, sounds, pictures, videos, multimedia, advertising copy, URLs, technology, software, interactive features, the “look and feel” of the Service, and the compilation, assembly, and arrangement of the materials of the Service and any and all copyrightable material; (ii) trademarks, logos, trade names, trade dress, service marks, and trade identities of various parties, including those of Seasonglass; (iii) Ahae limited edition artworks and unlimited archival artworks (collectively “Artworks”); and (iv) other forms of intellectual property (all of the foregoing, collectively “Content”). All right, title, and interest in and to the Service and the Content is the property of Seasonglass or our licensors, including the estate of the artist, Ahae, or certain other third parties, and is protected by U.S. and international copyright, trademark, trade dress, patent and/or other intellectual property and unfair competition rights and laws to the fullest extent possible.
Many of the trademarks, service marks, and logos (collectively, the "Trademarks") displayed on our site, are registered and/or unregistered marks of Seasonglass. The Trademarks of third parties may also be displayed on this site. Nothing contained in this site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademarks displayed on the site without the express written permission of Seasonglass or any third party that may own the Trademarks displayed on the site. Any unauthorized use of the Trademarks or any other Content, except as authorized in these Terms is strictly prohibited.
Seasonglass reserves the right to add to, delete from, or modify any part of Content at any time without prior notice. Any modifications to Content remain the property of Seasonglass and its licensors. The design service provided by Seasonglass in the production and printing process employs a limited number of elements, including icons, fonts, color schemes, and design effects. Seasonglass reserves the right to use all such elements and to make all such elements available for use by other parties in the future. You do not obtain any right or claim to any of the individual design elements through your creation of a design and/or your incorporation of a design into one or more products. Other Seasonglass customers may use the design elements to create designs that have similar or identical combinations of these elements and Seasonglass does not guarantee that your design will not have similarities to designs designed for and used by other parties. Seasonglass provides no warranty of any kind that designs created by Seasonglass according to your instructions will not infringe, or be subject to a claim of infringing, the trademark or other rights of another party. It is solely your responsibility to obtain the advice of an attorney regarding whether the design is legally available for your use and does not infringe the rights of another party.
B. Limited License
Subject to your strict compliance with these Terms and any applicable Additional Terms, Seasonglass grants you a limited, non-exclusive, revocable, non-assignable, personal, and non-transferable license to download, display, view, use, and play the Content on a personal computer, browser, laptop, tablet, mobile phone, or other internet-enabled device (each, a “Device”) and/or print one copy of the Content as it is displayed to you, in each case for your personal, non-commercial use only. The foregoing limited license (i) does not give you any ownership of, or any other intellectual property interest in, any Content, and (ii) may be suspended or terminated for any reason, in Seasonglass’s sole discretion, and without advance notice or liability. Your unauthorized use of the Content may violate copyright, trademark, privacy, publicity, communications, and other laws, and any such use may result in your personal liability, including potential criminal liability.
Certain features of the Service may require you to register an account. When registering an account, you agree to: (i) provide true, accurate, current, and complete information; (ii) maintain and update this information to keep it true, accurate, current, and complete; (iii) protect and prevent unauthorized access to your account; (iv) not transfer or share your account with any third party; and (v) immediately notify us of any suspected or actual unauthorized use of your account or breach of security. Please note that you are solely responsible for all activities that occur under your account, whether or not you authorized the activity, and we are not liable for any loss or damage to you or any third party arising from your failure to comply with any of the foregoing obligations.
We reserve the right to refuse service to anyone for any reason at any time. Seasonglass may suspend or terminate the availability of the Service and Content, in whole or in part, to any individual user or all users, for any reason, in Seasonglass’s sole discretion, and without advance notice or liability. Upon suspension or termination of your access to the Service, or upon notice from Seasonglass, all rights granted to you under these Terms or any applicable Additional Terms will cease immediately, and you agree that you will immediately discontinue use of the Service and Content.
You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
E. Reservation of Rights
All rights not expressly granted to you are reserved by Seasonglass and its licensors and other third parties. No right or license may be construed, under any legal theory, by implication, estoppel, industry custom, or otherwise. Any unauthorized use of the Content or Service for any purpose is prohibited.
F. Submissions and Feedback
When you submit any ideas, comments, feedback, opinions, techniques, images, sounds, videos, or other content to us through or relating to the Service (“Submissions”), you grant us a non-exclusive, unrestricted, unconditional, unlimited, worldwide, irrevocable, perpetual, transferable and cost-free right and license to host, store, use, display, reproduce, modify, adapt, edit, combine with other materials, publish, distribute, create derivative works from, promote, exhibit, broadcast, syndicate, sublicense (including, without limitation, to third party media channels, platforms, and distributors), publicly perform, publicly display, and otherwise use and exploit in any manner whatsoever, or grant third parties the right to do any of the foregoing, all or any portion of your Submissions, for any purpose whatsoever in all formats, on or through any means or medium now known or hereafter developed, and with any technology or devices now known or hereafter developed, and to advertise, market, and promote the same. You further irrevocably grant us the right, but not the obligation, to use your name in connection with your Submissions. You also agree to waive any right of approval for our use of the rights granted herein and agree to waive any moral rights that you may have in any Submissions, even if it is altered or changed in a manner not agreeable to you. To the extent not waivable, you irrevocably agree not to exercise such rights in a manner that interferes with any exercise of the granted rights.
You understand that you will not receive any fees, sums, consideration, or remuneration for any of the rights granted in this Section. Our receipt of your Submissions is not an admission of their novelty, priority, or originality, and it does not impair our right to existing or future intellectual property rights relating to your Submissions. We are and shall be under no obligation (1) to maintain any Submissions in confidence; (2) to pay compensation for any Submissions; or (3) to respond to any Submissions.
You represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to grant us the rights granted in this Section. You alone, though, retain whatever legally cognizable right, title, and interest that you have in your Submission and remain responsible for them.
G. Online Store Terms
You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
You may not: (i) use the Service or Content for any political or commercial purpose other than to the extent such overlaps with the parameters of your rights to use custom designs, prints, and products purchased by you; (ii) engage in any activity in connection with the Service or Content that is unlawful, harmful, offensive, sexually explicit, obscene, violent, threatening, harassing, abusive, falsely representative of your persona, invasive of someone else’s privacy, or otherwise objectionable to Seasonglass; (iii) harvest any information from the Service or Content; (iv) reverse engineer or modify the Service or Content; (v) interfere with the proper operation of or any security measure used by the Service or Content; (vi) transmit any worms or viruses or any code of a destructive nature (vii) infringe any intellectual property or other right of any third party; (viii) use the Service or Content in a manner that suggests an unauthorized association or is beyond the scope of the limited license granted to you; or (ix) otherwise violate these Terms or any applicable Additional Terms.
You are granted permission to access and use our Service and its Content for the sole purpose of preparing, evaluating, and ordering products or services solely through Seasonglass (referred to herein as “Products”). No other download, retention, use, publication, or distribution of any portion of the Content is authorized or permitted. Obtaining Products from Seasonglass does not entitle you to use any portion of Content apart from the finished Products as they are supplied by Seasonglass. You agree that you are responsible for protecting your password and controlling access to your registered account. You agree that you will be responsible for all orders placed or other actions that are taken through your registered account.
You agree to use this Service in a responsible manner that is in full compliance with these Terms of Service and with your local laws and regulations, including export and import regulations. Without limitation, no portion of Content or of any design, print or product (including multimedia products) produced by Seasonglass may be utilized as a trademark or service mark except for designs that (1) contain only images provided by customer and (2) were purchased by customer separately from his or her product order, for any pornographic use, for any unlawful purpose or use, to defame any person, to violate any person’s right of privacy or publicity, to infringe upon any copyright, trade name, trademark, service mark or other intellectual property right of any person or entity.
You agree that you will not use the Service to produce Products that are offensive, unlawful, harassing, libelous, threatening, harmful, obscene, malicious or otherwise objectionable. Seasonglass reserves the right, in Seasonglass’s sole discretion, to refuse to accept any content provided by you to Seasonglass or to process any order at any time and for any reason. Seasonglass also may terminate its service to and/or the accounts of customers found to be using Seasonglass to engage in undesirable activities or otherwise violating these Terms of Service. You agree that Seasonglass shall have no liability of any kind to you or to any third party arising from such refusal or termination.
You are solely responsible for your use of Content in combination with any other images, graphics, text or other materials you incorporate into your Products. You agree that you will not include any text, image, design, trademark, service mark, or any copyrighted work of any third party in your Products unless you have obtained the appropriate authorizations from the owners. You warrant that your Products do not infringe upon any rights of any third party, including copyright, trademark, right of publicity or privacy, and will not libel or defame any third party, and that you have all required rights or permissions necessary to incorporate third party material into your Products. By placing an order on this Service, you warrant that you have all necessary permission, right and authority to place the order and you authorize Seasonglass to produce the Products on your behalf. You grant Seasonglass the right to copy, modify, distribute, use, create derivative works of and vectorize any content you have uploaded for the purpose of fulfilling your order and/or marketing products or services to you. Moreover, you warrant that you have sufficient rights to permit Seasonglass to copy, distribute, use, modify, create derivative works of and vectorize any uploaded content for the purpose of fulfilling your order and/or marketing products or services to you and agree to indemnify Seasonglass from a breach of any of these representations and warranties.
When you order a customized print or product using images that you send to us, you are charged separately for a digital copy of the design and, at your option, in addition to the price of the customized print or product. You own all right, title, and interest, including all intellectual property rights, to the design of your customized print and product when you request that we use images that you supply, and we will not use your image without your permission. When ordering a customized print or product using an image that you supply, you represent and warrant that such image does not infringe on the rights of any third party and agree to indemnity Seasonglass from any such claim. We disclaim all liability regarding any claim of intellectual property infringement due to the use of your design in a customized print or product. Seasonglass and/or its licensors retain all right, title, and interest to all Ahae images, and own all right, title, and interest, including all intellectual property rights to any customized design that you request for a customized product or print that uses Ahae images.
SECTION 2 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION
We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.
This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.
SECTION 3 - COPYRIGHT INFRINGEMENT
A. DMCA Notification
Seasonglass responds to copyright notifications submitted under the Digital Millennium Copyright Act, 17 U.S.C. § 512 (“DMCA”). To submit a notice of claimed copyright infringement under U.S. law, provide our designated agent with the following written information:
A physical or electronic signature of the copyright owner or a person authorized to act on his or her behalf;
Identification of the copyrighted work claimed to have been infringed;
Identification of the infringing material and information reasonably sufficient to permit us to locate that material;
Your contact information, including your address, telephone number, and an e-mail address;
A statement that you have a good faith belief that the use of the material in the manner asserted is not authorized by the copyright owner, its agent, or the law; and
A statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

We will respond to notifications of claimed copyright infringement in accordance with the DMCA.
B. Counter Notification.
If you believe that your material has been removed in error in response to a copyright notification, you may submit a counter notification to our designated agent with the following written information:
- A physical or electronic signature;
- Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled;
- A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled; and
- Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which the address is located, or if your address is outside of the U.S., for any judicial district in which Seasonglass may be found, and that you will accept service of process from the person who provided notification under subsection (c)(1)(C) or an agent of such person.
We will respond to counter notifications in accordance with the DMCA.
SECTION 4 - MODIFICATIONS TO THE SERVICE AND PRICES
Prices for our products are subject to change without notice.
We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.
We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.
SECTION 5 – PRODUCTS, SERVICES, AND SUBSCRIPTIONS
Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.
We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate.
We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. More specifically, Seasonglass reserves the right to inform you that you cannot use “Ahae” on prints and/or products within our discretion. We also reserve the right to refuse to process an order for items for resale if we do not approve of the design. Finally, you agree that Ahae images on products and/or prints that you purchase must have the appropriate copyright mark, if required by Seasonglass. Any offer for any product or service made on this site is void where prohibited.
We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.
Certain areas of the Service require payment before you can access them (“Subscriptions”). For example, you may need to subscribe in order to access certain video content on our Service. Subscriptions can be purchased by paying a monthly subscription fee. When you register for a Subscription, you consent to get access to the premium areas of our Service immediately. Subscriptions require that you agree to both these Terms of Service as well as our Subscription Agreement and Terms and Conditions which are Additional Terms for our Subscription users. You can view our Subscription Agreement and Terms and Conditions here and must affirmatively agree to such when you purchase a Subscription with us.
We do our best to describe every product or service offered on our Service as accurately as possible. However, we are human, and therefore we do not warrant that product specifications, pricing, or other content on the Service is complete, accurate, reliable, current, or error-free. In the event of any errors relating to the pricing or specifications, Seasonglass shall have the right to refuse or cancel any orders in its sole discretion. If we charged your credit card or other account prior to our cancellation, we will issue a credit to your account in the amount of the charge. Additional Terms may apply. If a product or service you purchased from Seasonglass is not as described, your sole remedy is to cancel the purchase and receive a credit for the purchase price.
Certain circumstances are beyond our control. Please note that we cannot be responsible for: spelling, punctuation or grammatical errors made by the customer, inferior quality or low-resolution of uploaded images, design errors introduced by the customer, errors in user-selected options such as choice of finish, quantity or product type, and damage to the products arising after delivery to the customer. Please preview your designs carefully and correct any mistakes prior to placing your order.
All physical products purchased from the Service are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon delivery to the carrier. Artworks by Ahae purchased through Seasonglass are covered by Ahae Press, Inc.’s insurance.
SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.
You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

Section 7 – RETURNS & REPLACEMENTS
A. Ahae Products (not including Limited Edition Products)
Our goal is to ensure your satisfaction. If for any reason you are not satisfied, you may return merchandise within 30 days from the date of purchase. Please note that we can only accept refunds or exchanges on merchandise that is current, unopened, and accompanied with the original receipt. Without a receipt, a store credit will be issued at the lowest selling price. Refunds are processed within 14 business days and will be issued to the original form of payment that was used.
If merchandise is damaged or defected at the time of delivery, please contact us for instructions.
B. Limited Edition Products
We do not allow returns of any Limited Edition Products. If there is damage to a Limited Edition Product, you must notify us at firstname.lastname@example.org of the damage within 14 days of your receipt of the customized print or product. We will replace the item at the time of our receipt of that item after our analysis of the item and your claims confirms the alleged damage as reported by you.
C. Customized prints and products
We do not allow returns of any customized prints or customized products. If there is damage to a customized print or product, you must notify us at email@example.com of the damage within 14 days of your receipt of the customized print or product. We will replace the item at the time of our receipt of that item after our analysis of the item and your claims confirms the alleged damage as reported by you. We are not responsible for any errors in the customer’s image itself for those customized prints or products that use a customer’s image.
D. Ahae Artworks
We do not allow returns of Artworks. If there is damage to an Artwork, you must notify us at firstname.lastname@example.org of the damage within 14 days of your receipt of the Artwork. We will replace the item at the time of our receipt of that item after our analysis of the item and your claims confirms the alleged damage as reported by you.
Temperature and humidity may have an adverse effect on an Artwork. We will not refund or exchange any Artwork that is damaged from humidity or temperature control issues and disclaim any liability from any such damage.
E. Non-Seasonglass Vendors and Events
When you order a product of a non-Seasonglass vendor, the return policy of that vendor will apply. While most vendors offer a return policy equivalent to Seasonglass', some vendor return policies may vary. You can view the return policy of the vendor before you purchase an item by viewing the Returns and Refunds Policy section of the vendor website. Similarly, when you receive discounts to non-Seasonglass events, the vendor’s policy will apply and Seasonglass will have no responsibility or liability for either the discount offered or the honoring of such discount at such an event.
To return or exchange an item, please contact us to determine whether your return or exchange is approved. Return arrangements will be determined at the time of approval. Returns of product merchandise must be sent to the address below, at the cost of the purchaser:

SECTION 8 – SHIPPING & DELIVERY
We will be happy to ship your order anywhere in the world. Shipping charges vary based on the delivery location. To minimize costs to our customers, we will ship your order from the closest available warehouse location. We make every effort to ensure shipping costs are affordable to our customers. Please note that our shipping fees include our costs for order processing. All orders are shipped via FedEx Express Service to ensure safe and rapid delivery. Orders within the 48 contiguous states have the option for FedEx Ground shipping. Any order in the amount of $100 or more will require a signature to receive the delivery. Recipients are responsible for any applicable duties, taxes, or brokerage fees. Please note shipping is only available to residential and business addresses, we currently do not ship to P.O. Boxes.
Please note that orders placed between the time period from December 25th to January 1st will ship out on January 2nd, due to the holidays.

SECTION 9 – CUSTOMER SUPPORT

You acknowledge that the provision of support is at Seasonglass’s sole discretion and that we have no obligation to provide you with customer support of any kind. When you communicate with us electronically, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
SECTION 10 – THIRD PARTY SERVICES
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of optional third party tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service.

Certain content, products and services available via our Service may include materials from third-parties.
Third-party links on this site may direct you to third-party websites. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties. These references and links are provided “as is” without warranty.
We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.
SECTION 12 – COMMUNICATIONS
E-mails: You can opt-out of receiving certain promotional e-mails from us at any time by following the instructions as provided in e-mails to click on the unsubscribe link, or contacting us at email@example.com with the word UNSUBSCRIBE in the subject field of the e-mail. Your opt-out will not affect non-promotional e-mails, such as those about your account, transactions, servicing, or Seasonglass’s ongoing business relations.
SECTION 13 – AGREEMENT TO ARBITRATE DISPUTES AND CHOICE OF LAW
PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. IT CONTAINS PROCEDURES FOR MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.
A. We Both Agree to Arbitrate
You and Seasonglass agree to resolve any claims relating to these Terms through final and binding arbitration, except to the extent you have in any manner violated or threatened to violate Seasonglass’s intellectual property rights (for example, trademark, trade secret, copyright, or patent rights). Under such circumstances Seasonglass may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Service, or intellectual property infringement (for example, trademark, trade secret, copyright, or patent rights) without first engaging in arbitration or the informal dispute-resolution process described herein.
B. What is Arbitration
Arbitration is more informal than a lawsuit in court and seeks to resolve disputes more quickly. Instead of a judge or a jury, the case will be decided by a neutral arbitrator who has the power to award the same damages and relief that a court can. If any provision of this arbitration agreement is found unenforceable, the unenforceable provision shall be severed, and the remaining arbitration terms shall be enforced.

If there is a conflict between JAMS Rules and the rules set forth in these Terms, the rules set forth in this Terms will govern. To initiate arbitration, you or Seasonglass must do the following things:
(1) Write a demand for Arbitration. The demand must include a description of the Claim and the amount of damages sought to be recovered. You can find a copy of a demand for Arbitration at www.jamsadr.com.
(2) Send three copies of the demand for Arbitration, plus the appropriate filing fee to: JAMS to your local JAMS office or to JAMS, Two Embarcadero Center, Suite 1500, San Francisco, CA 94111.
(3) Send one copy of the demand for Arbitration to the other party.
Payment of all filing, administration and arbitrator fees will be governed by the JAMS Rules. If travelling to New York is a burden, you may participate in the arbitration by phone or via document submission to the fullest extent allowable by the arbitrator. Each party will bear their own costs of arbitration unless the arbitrator directs that bearing such costs would be an undue burden and in that case, we will pay for your portion of the arbitration administrative costs (but not your attorneys’ fees). Arbitration under this agreement shall be held in the United States in New York, NY under New York law without regard to its conflict of laws provisions. The arbitration may award on an individual basis the same damages and relief as a court (including injunctive relief). Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
D. Authority of Arbitrator
The arbitrator will decide the rights and liabilities, if any, of you and Seasonglass, and the dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the Arbitration Rules, and the Terms. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and Seasonglass.
E. No Class Actions
You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed.
F. Waiver of Jury Trial
THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, instead electing that all claims and disputes shall be resolved by arbitration. Arbitration procedures are typically more limited, more efficient and less costly than rules applicable in court and are subject to very limited review by a court. In the event any litigation should arise between you and Seasonglass in any state or federal court in a suit to vacate or enforce an arbitration award or otherwise, YOU AND SEASONGLASS WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the dispute be resolved by a judge. YOU ACKNOWLEDGE THAT YOU HAVE BEEN ADVISED THAT YOU MAY CONSULT WITH AN ATTORNEY IN DECIDING TO ACCEPT THIS AGREEMENT TO ARBITRATE.
G. Choice of Law/Forum Selection
In any circumstances where the Agreement to Arbitrate Disputes permits the parties to litigate in court, these Terms shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflict of law rules. You further expressly consent and agree to submit to the exclusive jurisdiction and venue of a court of competent jurisdiction located in New York, NY.
